Service Quotas & Usage Limits Policy
1. Overview
ClockShark applies fair use principles to help maintain the stability, performance, security and equitable availability of the Services.
ClockShark may also introduce system-enforced usage limits ("Service Quotas") for particular features or resources. Unless ClockShark specifies otherwise, usage is assessed on a per-customer account basis. ClockShark does not guarantee that any particular level of capacity, throughput or usage will be available at all times. 'Services' has the meaning given in the ClockShark Terms and Conditions.
2. Scope
Fair Use applies to all features and resources within the Services. ClockShark may introduce specific Service Quotas for features and resources including:
Email and notification delivery
AI/LLM usage (requests, tokens, compute, model selection, response size, and processing priority)
Automations and background jobs
Data storage and file uploads
Concurrent operations
Service Quotas may vary by feature, plan, customer account, region, environment or product configuration and may be introduced or changed from time to time.
3. Limits
Unless ClockShark specifies a particular Service Quota for a feature or resource, use of that feature or resource is subject to Fair Use.
For the purposes of this Policy, Fair Use means reasonable and ordinary use of the relevant feature in the normal course of your business, having regard to your plan, product configuration, number of users, typical usage patterns, system capacity, third-party service constraints, the intended purpose of the feature, and the need to protect the stability, security and performance of the Services and ensure equitable access to shared resources.
Usage may be considered outside Fair Use where it is excessive, abnormal, automated at high volume, materially affects service performance, circumvents intended limits, or is inconsistent with the intended purpose of the feature.
ClockShark may introduce, modify or remove specific Service Quotas from time to time, including limits that vary by feature, plan, customer account, region or product configuration. ClockShark may also prioritize, deprioritize or allocate resources between customers at its discretion. Fair Use and Service Quotas do not constitute a guarantee of throughput, performance, capacity or availability.
4. Enforcement
ClockShark may monitor and enforce Fair Use and any applicable Service Quotas programmatically.
If ClockShark determines that usage exceeds Fair Use or an applicable Service Quota, ClockShark may, without notice:
queue or delay processing;
throttle throughput;
truncate responses;
downgrade service levels (including Al model selection or response size);
disable or limit specific functionality.
Enforcement behaviour may vary by feature and severity of overuse.
Enforcement behaviour may be applied on a per-feature, per-user, or per-customer account basis.
Enforcement actions may be applied without notice where necessary to protect the Services or other users.
5. Dynamic Adjustment
ClockShark may dynamically adjust available capacity, enforcement thresholds and any applicable Service Quotas to maintain system performance and availability.
This may occur due to:
system load;
infrastructure constraints;
peak usage periods;
risk of service degradation; or
third-party service limitations.
Temporary reductions or increases in available capacity may apply at any time.
6. Third-Party Dependencies
Certain features, including email delivery and Al functionality, rely on third-party service providers. ClockShark is not responsible for limitations, throttling, or failures imposed by such providers. Available capacity, Fair Use assessments and Service Quotas may be affected by third-party constraints.
7. Charges for Excess Usage
Where usage exceeds Fair Use or an applicable Service Quota, ClockShark may restrict or suspend the relevant functionality, require a plan upgrade or quota increase, or permit continued usage subject to additional fees at ClockShark's then-current standard rates.
ClockShark may, at its sole discretion acting reasonably to protect the Services and other customers, determine whether excess usage will be:
permitted and billed; or
restricted, throttled, or blocked.
ClockShark may implement hard limits or suspend usage once defined thresholds are reached, including to prevent excessive or unexpected charges.
8. Customer Responsibilities
Customers are responsible for ensuring that their users, configurations, automations and workflows comply with Fair Use and any applicable Service Quotas, and do not generate excessive, unnecessary or abnormal usage.
This includes:
avoiding excessive, unnecessary or abnormal usage;
configuring automations efficiently.
Failure to comply may result in immediate enforcement actions without notice.
Customers must not circumvent, attempt to circumvent, or assist others in circumventing any Service Quotas or enforcement mechanisms.
9. Other Usage Requirements
Your use of the Services is also subject to ClockShark's Fair Use Policy, End-User License Agreement and Terms and Conditions, as updated from time to time. Those documents contain additional requirements relating to permitted use, account access, storage, training, support and customer conduct.
10. Suspension and Termination
ClockShark may suspend, restrict, or terminate access to the Services (in whole or in part) where:
usage repeatedly or materially exceeds Fair Use under this Policy or an applicable Service Quota;
excess usage risks degradation of the platform;
the Customer fails to comply with required remediation or upgrade requests; or
usage violates applicable terms or policies.
Such actions may be taken immediately where necessary to protect the platform or other customers.
11. Changes to Service Quotas
ClockShark may modify, introduce, or remove Service Quotas at any time, including:
adjusting existing limits;
introducing new quota categories;
replacing Fair Use for a feature or resource with a specific Service Quota;
changing how quotas are measured or enforced.
Where practicable, ClockShark will provide notice of material changes. Continued use of the Services constitutes acceptance of the updated quotas.
